JV Structuring with a Family Office

Project Scope:
Our client — a property developer with whom we had previously worked on advisory assignments — secured interest from a family office looking to invest in residential development project. Credit Partners was invited to support the process during the structuring phase and to help define the key elements of the investment agreement.

Our Role Included:
  • Advising the developer on preparing a detailed investment offer for the family office.
  • Developing the financial model of the joint venture.
  • Presenting financial projections and expected return and waterfall scenarios depending on the proposed capital structure and profit-sharing model.
  • Reviewing and commenting on the investment agreement and shareholder agreement — with a focus on business logic and operational practicality.
  • Providing strategic input in discussions with the family office’s financial analyst and legal counsel.
The Outcome:

Thanks to our client’s strong track record and reputation, combined with a well-prepared offer and structured documentation, the parties reached an agreement and launched their joint project. Discussions are now underway regarding the expansion of the cooperation to additional investments.
